Store Owner Agreement

1. Introduction
This Store Owner Agreement ("Agreement") is a binding contract between you ("Store Owner", "you", or "your") and Pintio Pty Ltd (ABN: 12 345 678 901) ("Pintio", "we", "our", or "us") that governs your registration and management of a business listing on the Pintio platform.
This Agreement is in addition to our general Terms and Conditions and Privacy Policy, which are incorporated by reference. By registering a business on our platform, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
2. Business Verification
To register a business on our platform, you must complete our verification process, which may include:
- Providing your business name, address, ABN, and contact information.
- Confirming you are authorized to represent and manage the business listing.
- Verifying your business through one or more of the following methods:
- Phone verification to a business number.
- Email verification to a business domain email address.
- Document verification (business registration, utility bill, etc.).
- Physical postcard verification with a unique code.
We reserve the right to reject any business registration or remove a business listing if we cannot verify your business or if you provide false or misleading information.
3. Business Information
As a Store Owner, you are responsible for:
- Providing accurate and up-to-date information about your business, including but not limited to:
- Business name, address, and contact details.
- Operating hours.
- Products or services offered.
- Pricing information (if applicable).
- Special features or amenities.
- Promptly updating your business information when changes occur.
- Ensuring that all information complies with applicable laws and regulations, including consumer protection and fair trading laws.
You acknowledge that providing false or misleading information about your business may constitute a violation of Australian Consumer Law and may result in the termination of your account.
4. Content Guidelines
All content you upload or provide for your business listing must comply with the following guidelines:
- Content must be accurate, truthful, and not misleading.
- Content must not infringe on any third-party intellectual property rights.
- Content must not be offensive, discriminatory, or inappropriate.
- Photos must accurately represent your business, products, or services.
- Content must not include personal contact information of customers or employees without their consent.
- Content must comply with all applicable laws and regulations.
We reserve the right to remove any content that violates these guidelines or our general Terms and Conditions.
5. Review Management
Our platform allows customers to leave reviews for your business. As a Store Owner, you:
- May respond to customer reviews in a professional and respectful manner.
- Must not offer incentives for positive reviews or for removing negative reviews.
- Must not post fake reviews or have employees or associates post reviews without disclosing their relationship to your business.
- May report reviews that violate our review guidelines, but must not harass or intimidate customers who leave negative reviews.
We moderate reviews according to our review guidelines and reserve the right to remove reviews that violate these guidelines. However, we do not remove reviews solely because they are negative or critical if they otherwise comply with our guidelines.
6. Intellectual Property
By uploading content to your business listing, you grant us a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the content in connection with our platform and our business.
You represent and warrant that you own or have the necessary rights to all content you upload to your business listing, and that the content does not infringe on any third-party intellectual property rights.
We respect intellectual property rights and expect Store Owners to do the same. If you believe that content on our platform infringes your intellectual property rights, please contact us at legal@pintio.com.au.
7. Analytics and Data
We provide analytics and insights about your business listing, which may include:
- Number of views and clicks on your business listing.
- Search terms used to find your business.
- Demographic information about users who view your listing (in aggregate form).
- Review metrics and sentiment analysis.
This data is provided for your information and business improvement purposes. You acknowledge that:
- The data is approximate and may not be 100% accurate.
- The data is for your internal use only and should not be publicly disclosed without our permission.
- We may change the types of analytics provided at any time.
8. Subscription and Billing
We offer different subscription tiers for Store Owners, each with different features and pricing. By subscribing to a paid tier, you agree to the following:
- You authorize us to charge your payment method for the subscription fee on a recurring basis until you cancel.
- Subscription fees are billed in advance on a monthly or annual basis, depending on your selected billing cycle.
- Subscription fees are non-refundable, except as required by Australian Consumer Law.
- You may upgrade or downgrade your subscription at any time, with the change taking effect at the start of the next billing cycle.
- If you downgrade your subscription, you may lose access to certain features immediately or at the end of your current billing cycle.
We reserve the right to change our subscription fees and features at any time, but will provide at least 30 days' notice before any price increase takes effect.
9. Featured Listings
Premium and Enterprise subscribers may receive featured placement in search results and other promotional benefits. Featured listings are subject to the following terms:
- Featured placement is not guaranteed and depends on various factors, including relevance to the user's search query, location, and other businesses in the area.
- We do not guarantee any specific increase in views, clicks, or customers as a result of featured placement.
- Featured listings must comply with all content guidelines and other terms of this Agreement.
- We reserve the right to remove a business from featured placement if it violates our terms or receives consistently poor reviews.
10. Termination
We may suspend or terminate your business listing and account if:
- You violate this Agreement or our general Terms and Conditions.
- We receive multiple complaints about your business from users.
- We cannot verify that you are authorized to represent the business.
- Your business closes permanently or changes ownership.
- You fail to pay subscription fees or your payment method is declined.
- You engage in fraudulent, deceptive, or illegal activities.
You may terminate your business listing at any time by contacting us or using the account deletion feature in your account settings. Upon termination:
- Your business listing will be removed from our platform.
- You will lose access to all features and analytics.
- We may retain certain information as required by law or for legitimate business purposes.
- We will not refund any subscription fees already paid.
11. Changes to this Agreement
We reserve the right to modify this Agreement at any time. If we make material changes to this Agreement, we will notify you by email or by posting a notice on our platform prior to the effective date of the changes. Your continued use of our platform after the effective date of the changes constitutes your acceptance of the modified Agreement.
